Terms of Service

These Terms govern your access to and use of the Nooriel platform and website. By creating an account or using the service, you agree to them on behalf of your organization. Please read them alongside our Privacy Policy and Data Processing Agreement.
1. The service
Nooriel provides software that helps Canadian financial businesses monitor transactions, screen for sanctions and politically-exposed persons, investigate cases, and prepare regulatory submissions. The platform assists your compliance team; it does not replace your organization's legal and regulatory judgment.
2. Compliance responsibility
You remain solely responsible for your organization's regulatory obligations. Nooriel surfaces signals, drafts, and recommendations, but your qualified personnel review, decide, and approve every regulatory filing. We do not provide legal advice, and outputs are not a substitute for professional judgment.
3. Accounts & eligibility
- You must provide accurate registration information and keep credentials confidential.
- You are responsible for activity under your accounts and for your users' compliance with these Terms.
- The service is intended for business use by eligible organizations, not for consumers.
4. Acceptable use
You agree not to:
- use the service unlawfully, or to infringe others' rights;
- attempt to breach security, probe, or disrupt the service or other tenants;
- reverse-engineer, resell, or copy the platform except as permitted by law;
- upload data you are not authorized to process, or malicious code.
5. Fees & billing
Paid plans are billed in advance through our payment processor at the rates shown at sign-up. Unless stated otherwise, fees are non-refundable except as required by law. We may change pricing on renewal with reasonable notice.
6. Your data
You retain all rights in the data you submit. You grant us a limited licence to host and process it solely to provide the service, as described in our Privacy Policy and Data Processing Agreement. Sensitive identifiers are tokenized and are never exposed to AI models.
7. Intellectual property
The platform, including its software, models, and content, is owned by Nooriel and its licensors. These Terms grant you a non-exclusive, non-transferable right to use the service during your subscription — no other rights are granted.
8. Availability & changes
We work to keep the service available and may update features over time. We may suspend access for security, legal, or non-payment reasons, and will give notice where reasonable.
9. Warranties & disclaimers
The service is provided “as is.” To the extent permitted by law, we disclaim implied warranties. We do not warrant that the service will detect every risk or satisfy every regulatory requirement — that determination rests with your organization.
10. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect or consequential damages, and our total liability is limited to the fees you paid in the twelve months before the claim. Nothing limits liability that cannot be limited by law.
11. Term & termination
Either party may terminate as set out in your plan. On termination, your right to use the service ends and we will handle your data in accordance with the Privacy Policy and Data Processing Agreement.
12. Governing law
These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable there, without regard to conflict-of- laws rules.
